General Overview

Redwood Trust is looking for a proven attorney for its Mortgage Banking and Capital Markets Group. The VP, Associate General Counsel of Mortgage Banking and Capital Markets is responsible for negotiating and documenting all securitization, whole loan and MSR purchase deals along with helping various stakeholders around the residential banking unit with various legal questions. Position requires a comprehensive knowledge and experience of mortgage and contract finance and securitization. Incumbent must have a proven track record of outstanding client service, and proven problem solving and decision making skills.  The successful candidate will have a high level of interaction with internal parties (post purchase operations, sales, trading, structured finance, legal, due diligence, IT) and external parties (servicers, sub servicers, investment banks, bond buyers, originators, rating agencies, GSEs, and 3rd party service providers).

Key Responsibilities
  • Whole loan purchases/sales/financings: Negotiating flow and bulk purchase and sale agreements with loan sellers as well as purchasers as well as short/medium/long term financing arrangements. 
  • MSR purchases/sales: Negotiating purchase and sale agreements with servicing sellers.
  • Repurchases: Reviewing work of collateral surveillance group to help determine if defaulted loans (agency and non-agency) should result in a repurchase request.
  • Securitization:  Support Managing Director of Structured Finance with rating agency interaction, transaction documents, working through various issues and concerns raised throughout course of transaction. 
  • Participation in determining whether various Redwood vendors are violating contractual provisions (servicers, trustees, sellers, etc) and negotiations to force compliance or remove vendor.
  • Preparation of responses to rating agency inquiry (aggregator reviews as well as interim requests).
  • Working through practicalities and implementation of new processes with servicers/trustees/custodians for evolving securitization standards. 

Qualifications and Requirements

Professional & Educational Requirements
  • Minimum 3 years of experience in residential mortgage backed securitization or structured finance.  
  • JD degree required.
